This agreement is between ByteNode (referred to as "ByteNode", "we", "us", or "our") and You (referred to as "Customer", "you", or "your") and governs your use of ByteNode services. By creating an account, purchasing services, or using ByteNode services, you confirm that you are legally authorized to enter this agreement, accept all terms and conditions herein, and, if acting on behalf of a business or entity, have the authority to bind them to this agreement. If you do not accept these terms or lack such authorization, you may not create an account or use our services. Customers must register an account with accurate information and provide identity or payment verification if required. Failure to do so may result in order cancellation or account termination. Customers are responsible for securing login credentials and ensuring they are not shared; any unauthorized access must be reported immediately to ByteNode support. ByteNode may modify, add, or discontinue services at any time, including urgent changes for security or compliance reasons. If a service reaches end-of-life, customers will be notified at least 30 days in advance and offered a comparable replacement if available. Support is provided according to ByteNode's current policies, and ByteNode is not responsible for technical issues beyond its services. Harassment or threats toward ByteNode staff will result in immediate account termination without notice. Customers access ByteNode services by completing an official ByteNode order form or creating an online account, which requires acknowledging acceptance of these Terms of Service. When purchasing, customers select the service, subscription duration, and payment plan. ByteNode reserves the right to update or modify these terms at any time. Continued use after changes take effect constitutes acceptance of the revised terms.
Customers register through our site, accepting these Terms of Service. Accurate account details, including identity and payment verification if requested, are required; non-compliance may lead to cancellation or termination. Customers secure their credentials and report unauthorized access immediately. ByteNode may modify or discontinue services, with 30-day notice for end-of-life where feasible. Support follows current policies; we are not liable for issues outside our services. Harassment of staff results in immediate termination.
Services are purchased via account registration. Pricing depends on service type, billing period, and usage. Some services require pre-payment before activation. Customers ensure services meet expectations. Payments occur via credit card, PayPal, Stripe, or other methods; automatic payments require electronic authorization. Maintain accurate payment details and sufficient funds. Delinquent payments may lead to suspension, termination, interest, or collection. ByteNode may adjust pricing with 30 days' notice, effective at renewal. Refunds are generally not provided except as required by law or specified herein. Billing disputes must be raised within 60 days. EU consumers may cancel within 14 days of purchase (if services not commenced), with prompt refunds.
Confidential Information includes data designated confidential or proprietary by either party, such as business strategies, technology, customer records, and services (even if unmarked). It excludes publicly available, independently developed, or pre-known information. Parties use Confidential Information only for contract fulfillment, protect it reasonably, and disclose only to authorized personnel or as legally required (with minimization efforts). Breaches allow legal remedies, including injunctive relief. Compliance documents and reports are confidential; sharing requires strict terms and recipient lists upon request.
Customers receive a limited, non-exclusive license to use ByteNode services; all IP rights remain with ByteNode and licensors (software, platform, branding, innovations). No ownership transfers beyond granted rights. Prohibited: modification, reverse engineering, derivative works, bypassing protections, spam, malware, DoS attacks, unauthorized crypto mining (proof-of-stake blockchain allowed if policy-compliant). Third-party infrastructure remains owned by providers. Violations may result in immediate termination.
Privacy and data practices follow ByteNode's Privacy Policy and any Data Processing Agreement. ByteNode may monitor for performance, stability, and compliance. Customers cooperate with verification; interference prohibited. Unencrypted personal data submission requires GDPR compliance; violations prohibit and ByteNode not liable. Customers indemnify ByteNode for non-compliance claims.
Customers own their content but grant ByteNode a limited license to process/store as needed for service delivery. Anonymized usage data may be collected for improvement. Customers ensure rights to uploaded data and legal compliance (privacy, security). Prohibited: illegal, harmful, infringing content; prompt removal required. Customers secure data (encryption, backups) and notify users as required. Phone provision consents to operational (non-marketing) communications. ByteNode complies with DMCA; valid notices forwarded, repeat infringers terminated.
Customers responsible for third-party products installed/used with services; separate agreements apply. ByteNode not party thereto. Customers cover fees/charges. If facilitated, warranties pass through "as is". ByteNode may suspend/terminate third-party access anytime; no liability for availability/issues.
Agreement starts on account creation or order form completion, for selected initial term. Auto-renews unless 30 days' non-renewal notice (or anytime for month-to-month). Cancel renewal via dashboard or support.
Customers terminate for convenience with 30 days' notice; early fees may apply for remaining term. ByteNode terminates immediately for violations, insolvency, unresolved breaches, or non-payment (after 2 days, access lost; data deleted permanently after). Upon termination, services cease; data access lost—backup beforehand. Legal/violation terminations may prevent retrieval. Obligations (payments) survive.
ByteNode may suspend for violations, risks, compliance, or legal requests (notice usually, but not always). Fees continue during suspension; no credits. Services "as is" without warranties (performance, uptime, fitness). Customers assume risks. No liability for indirect damages (lost profits, data corruption, interruption). Liability limited to amounts paid in prior 12 months (or legal minimum). Claims within 18 months. Certain jurisdictions (e.g., gross negligence) may vary.
ByteNode defends/indemnifies against IP infringement claims on its services (prompt notice, control, cooperation required; no settlement without consent). Excludes third-party/misuse. May secure rights, modify, replace, or terminate with pro-rated refund. Customers indemnify ByteNode for their IP violations.
Customers indemnify ByteNode/affiliates against claims from acts/omissions, violations, third-party rights breaches (including costs). ByteNode may participate in defense. Customers cover subpoena/court costs. Services "Commercial Items" under applicable regulations. Comply with anti-corruption laws (no improper payments). Use lawfully; privacy compliance required. Public customer listing allowed; branding needs consent. Unenforceable provisions severable. Governed by laws of Greece. Disputes exclusively in Greek courts (international users: mandatory local laws may apply if overriding; notify within 30 days). Electronic communications satisfy writing requirements. Entire agreement; Terms prevail over order forms unless amended. No waiver by non-enforcement. No joint venture. ByteNode assignable; customers need consent.
